The HP angle: what being in Himachal changes
Registration procedure is the same across India (it is a central law), but three things are HP-specific in practice:
- Stamp duty on the Memorandum and Articles varies by state — HP's schedule applies to your incorporation.
- State incentives — HP offers SGST reimbursement, employment-linked subsidies and electricity duty concessions for units registering under state industrial policies; eligibility depends on your unit's location and category, and claims need the registrations done correctly from day one.
- Registered office proof — a residential address works (a no-objection certificate from the owner plus a recent utility bill suffices), which matters for the many home-based and family-office businesses here.
The process, step by step
- Digital Signature Certificates (DSCs) for every proposed director — class 3, issued within hours.
- Name approval via SPICe+ Part A — propose two names in order of preference. Names are rejected for being too generic, too similar to existing companies, or using restricted words. A well-chosen first proposal is usually approved in 1–2 days.
- SPICe+ Part B (incorporation) — the main form: directors' details, share capital, registered office, and attached Memorandum (MOA) and Articles (AOA). For most new companies this single filing also bundles PAN, TAN, EPFO, ESIC, professional tax (where applicable) and the bank account opening instrument.
- AGILE-PRO-S — the attached form handling GST registration (optional at this stage, recommended if you will trade), ESIC and the opening bank account mandate.
- Certificate of Incorporation — issued with the CIN, PAN and TAN together, typically 7 to 14 working days end to end when documents are complete the first time.
Documents checklist
- For each director and shareholder: PAN (mandatory), Aadhaar, passport-size photo, address proof (bank statement / electricity bill), and a mobile number + email linked to Aadhaar for OTP verification.
- For the registered office: electricity or other utility bill not older than two months, plus the owner's No Objection Certificate.
- Draft MOA and AOA — the company's constitution; drafted to match your actual business objects, not copy-pasted, because the objects clause shapes what the company can do.
The compliance that starts immediately — this is where founders get burned
Incorporation is not the finish line; it is the start of a calendar:
- Within 30 days: appoint the first statutory auditor.
- Within 120 days: file INC-20A (declaration of commencement of business) with the subscription money banked. Skip this and the company cannot borrow money or commence operations — and penalties accrue.
- Within 60 days: issue share certificates to subscribers.
- Recurring: board meeting once a quarter, annual return (MGT-7) and financial statements (AOC-4) every year, income tax return, and audit — mandatory for every private limited company regardless of turnover.
